We are looking for a qualified Company Secretary who can operate with
ownership and lead transaction execution independently. The role demands a
strong grounding in corporate laws, practical exposure to deal execution, and
The ability to manage compliance across private and public company structures.
Key Responsibilities
1. Transaction Execution & Advisory
Independently manage end-to-end execution of corporate transactions, including:
Private placements, rights issues, preferential allotments
Share transfers, ESOP implementation
Buybacks, capital restructuring
2.Draft and review transaction documents, such as:
Board & Shareholders’ resolutions
Offer letters, PAS filings
Shareholders’ Agreements (SHA), Share Purchase Agreements (SPA) (basic review/coordination)
3. Coordinate with investors, legal counsel, internal stakeholders for deal closure
4. Secretarial & Compliance
Ensure compliance with provisions of the Companies Act, 2013 and rules
Manage Board Meetings, Committee Meetings, and General Meetings end-to-end
Draft agenda, notice, and minutes in line with applicable Secretarial Standards
Maintain statutory registers, records, and MCA filings
Handle event-based and periodic filings (AOC-4, MGT-7, PAS-3, DIR forms, etc.)
5. Governance & Advisory
Advise management on corporate governance practices and regulator requirements
Assist in the implementation of best governance frameworks for group entities
Support in due diligence processes (secretarial/legal DD)
Candidate Profile
Qualified Company Secretary (Member of ICSI)
1–3 years of relevant experience
Proven ability to independently handle end-to-end transactions (not just compliance support)
Strong drafting and documentation skills
Practical understanding of Companies Act, FEMA, and corporate restructuring
High ownership mindset and attention to detail
Ability to work in a team environment
